1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement between you and LivePokerEdge ("Company," "we," "us," "our"), a trade name operated by its founder, concerning your access to and use of the LivePokerEdge website and mobile application (collectively, the "Services").

We operate the website https://livepokeredge.com as well as any other related products and services that refer or link to these Legal Terms.

2. Description of Services

LivePokerEdge is a poker session tracking and AI coaching app designed for live poker players. Users can log sessions, track results, record hands, and interact with an AI coach for strategy guidance.

The Services are intended for personal use only. You may not use the Services for internal business purposes or on behalf of a third party without our express written consent.

3. Eligibility

You must be at least 18 years of age to use the Services. By accessing or using the Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are under 18, you are not permitted to use the Services.

4. User Accounts

You may be required to create an account to access certain features of the Services. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password confidential and secure
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activity that occurs under your account

You may update or delete your account by logging into your account settings or by contacting us at livepokeredge@gmail.com.

We reserve the right to terminate or suspend your account at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, third parties, or for any other reason.

5. Subscription and Payments

LivePokerEdge offers a free tier and a paid subscription plan ("Grinder") at $14.99 per month. By subscribing, you agree to the following:

• Automatic renewal: Subscriptions automatically renew on a monthly basis unless cancelled prior to the renewal date.
• Payment methods: We accept Visa, Mastercard, American Express, and Discover. Payments are processed in US dollars.
• Cancellation: You may cancel your subscription at any time by contacting us at livepokeredge@gmail.com. Cancellations take effect at the end of the current billing period.
• Refunds: You may request a refund by contacting us. Refund requests are reviewed on a case-by-case basis.
• Price changes: We reserve the right to change subscription pricing with reasonable notice to subscribers.

6. Free Tier Limitations

The free tier of LivePokerEdge includes the following lifetime limits:

• Session tracking and graphs — unlimited
• 10 AI coach messages — lifetime total
• 5 hands recorded — lifetime total
• 5 player notes — lifetime total

These limits are subject to change. Upgrading to the Grinder plan removes these restrictions as described in the subscription terms.

7. Prohibited Activities

You agree not to engage in any of the following activities in connection with the Services:

• Use the Services to advertise or offer to sell goods or services
• Sell, transfer, or otherwise dispose of your account or profile to any third party
• Circumvent, disable, or otherwise interfere with security-related features of the Services
• Use the Services for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to gain unauthorized access to any portion of the Services or any systems connected to them
• Engage in any automated use of the Services, such as using scripts, bots, or scrapers
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Upload or transmit viruses, malware, or any other malicious code
• Harass, abuse, or harm another person or entity

8. AI Coach Disclaimer

The AI coaching features within LivePokerEdge are provided for informational and entertainment purposes only. The AI coach provides general poker strategy guidance and should not be relied upon as professional gambling advice.

LivePokerEdge does not guarantee any specific results or outcomes from following AI coach recommendations. Poker involves skill, chance, and risk. You are solely responsible for any decisions made based on AI coach output.

The AI coach is powered by Anthropic's Claude AI. Responses are generated automatically and may not always be accurate, complete, or applicable to your specific situation.

9. Intellectual Property

The Services and their entire contents, features, and functionality — including but not limited to all information, software, text, displays, images, and the design, selection, and arrangement thereof — are owned by LivePokerEdge, its licensors, or other providers of such material and are protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use only.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services without our prior written consent.

10. Privacy Policy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy at https://livepokeredge.com/privacy-policy.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or usefulness of any information provided through the Services.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LIVEPOKEREDGE AND ITS FOUNDERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO US IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM, OR (B) $50.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

13. Indemnification

You agree to defend, indemnify, and hold harmless LivePokerEdge and its founder, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

14. Dispute Resolution

Informal Negotiations: To expedite resolution and reduce the cost of any dispute, you and LivePokerEdge agree to first attempt to negotiate any dispute informally for at least 30 days before initiating arbitration. Such informal negotiations commence upon written notice from one party to the other at livepokeredge@gmail.com.

Binding Arbitration: If informal negotiations fail, any dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration in New Castle County, Delaware, United States. The arbitration shall be conducted on a confidential basis.

Arbitration Fees: If arbitration fees are deemed excessive, LivePokerEdge will pay such fees to the extent required by applicable law.

Exceptions: Nothing in this section shall prevent either party from seeking injunctive or other equitable relief from the courts for matters related to intellectual property rights or unauthorized access to the Services.

Time Limit: Any claim arising out of or related to these Terms must be filed within one (1) year after the cause of action arose, or such claim is permanently barred.

15. Governing Law

These Terms and any dispute arising out of or related to them or the Services shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

If any dispute is not subject to arbitration, you agree to submit to the personal jurisdiction of the courts located in New Castle County, Delaware.

16. Termination

We reserve the right to terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

17. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by sending an email to the address associated with your account at livepokeredge@gmail.com.

Your continued use of the Services after the effective date of any revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Services.

18. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and LivePokerEdge regarding the Services.

Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

No Third-Party Beneficiaries: These Terms are for the sole benefit of the parties hereto and their respective permitted successors and assigns.
